Contract Law at Woodstock Legal Services

Clear, well-drafted contracts protect your business, reduce risk and help prevent disputes before they arise. Whether you’re agreeing terms with a customer, supplier or partner, it’s important that your contracts reflect what you’ve agreed and how you actually operate. Woodstock Legal Services helps businesses of all sizes put the right contracts in place across England and Wales.

Our commercial lawyers advise on terms and conditions of business, supply and services agreements, distribution and agency agreements, non-disclosure agreements, consultancy and freelancer agreements, software and technology contracts, and reviewing contracts before you sign.

You’ll work directly with an experienced lawyer who takes the time to understand your business, explains the key terms in plain English, and helps you sign with complete confidence.

Drafting Commercial Contracts

Template contracts and documents copied from elsewhere often don’t reflect how your business works, and gaps or unclear wording can leave you exposed when something goes wrong.

Our lawyers draft contracts tailored to your business. These cover the essentials, such as payment terms, delivery and performance, intellectual property, confidentiality, liability and termination. We make sure your terms are clear, enforceable and practical to use day to day, and we can create standard terms that you can use time and time again.

Well-drafted contracts give you a stronger position if a dispute arises, and help you build lasting, trusted relationships with your customers and suppliers.

Reviewing & Negotiating Contracts

When you’re presented with someone else’s contract, it’s easy to sign without fully understanding the risks. Terms on liability, indemnities, exclusivity or automatic renewals can have a significant impact on your business.

Our commercial lawyers review contracts before you sign. We highlight the key risks and obligations and explain what each clause means for you. Where appropriate, we negotiate amendments on your behalf to achieve a fairer, more balanced agreement. We also work closely with our dispute resolution team if an existing contract has led to a disagreement.

We’ll give you clear, practical advice, so you can make informed decisions and protect your business.

Contract Law FAQs

  • Does a contract have to be in writing?

Not always. Many contracts can be made verbally or through conduct, but a written contract gives both parties certainty and makes it much easier to prove what was agreed if a dispute arises. Some types of contracts, such as those involving land, must be in writing.

  • What should my terms and conditions include?

Your terms and conditions should cover how and when you’ll be paid, what you’ll provide, delivery or performance, liability and its limits, intellectual property, confidentiality, and how either party can end the agreement. They should also comply with consumer law if you sell to consumers. We’ll tailor your terms to your business.

  • What is a non-disclosure agreement?

A non-disclosure agreement (NDA) is a contract that protects confidential information shared between parties, for example during business negotiations or when working with contractors. It sets out what information is confidential, how it can be used and for how long. We can draft or review NDAs for you.

  • Can I limit my liability in a contract?

In many cases, yes. Businesses often limit or exclude certain types of liability, but there are legal restrictions on what can be excluded, particularly for consumers and in relation to negligence. Limitation clauses must also be reasonable and clearly drafted to be enforceable. We’ll advise on the right approach for your business.

  • Should I have a contract reviewed before signing?

Yes, especially if the contract is high-value, long-term or contains terms you don’t fully understand. A legal review can identify risks, unfair terms and obligations you may not have noticed, and give you the chance to negotiate before you’re bound.
