Commercial Property at Woodstock Legal Services

Commercial property is often one of the most valuable assets a business or investor holds, and every transaction carries significant financial and legal implications. Woodstock Legal Services provides expert commercial property advice to businesses, investors, developers and landlords across England and Wales.

Our commercial property solicitors advise on the acquisition and sale of freehold and leasehold commercial property, commercial property investment, portfolio transactions, and the sale and purchase of businesses with property. Our team includes solicitors with decades of experience handling complex, high-value transactions, from single units to multi-million-pound disposals.

You’ll work directly with an experienced lawyer who understands your commercial objectives, identifies risks early, and keeps your transaction moving, so you can focus on running your business or growing your portfolio.

Commercial Leases for Landlords & Tenants

Whether you’re letting out premises or taking on a new space for your business, the terms of your lease can affect your costs and flexibility for years to come. Woodstock Legal Services acts for both landlords and tenants on all aspects of commercial leases.

Our solicitors draft, review and negotiate new leases, as well as lease renewals, lease surrenders, assignments and underlettings, and requests for consent to change of use or alterations. We advise on key terms such as rent reviews, repairing obligations, service charges and break clauses, and on whether a lease should have security of tenure under the Landlord and Tenant Act 1954.

Because our commercial property and property litigation teams work closely together, we can also support you if a lease issue becomes a dispute, from dilapidations claims to contested lease renewals. That gives you joined-up advice from one firm.

Development, Investment & Portfolio Support

For developers, investors and landowners, getting the legal structure right from the outset is key to protecting your returns. Woodstock Legal Services supports clients across the full property lifecycle, from site acquisition to letting and sale.

Our solicitors advise on development agreements, site assembly, rights of way and access, option and overage arrangements, and the legal aspects of building and managing a commercial property portfolio. We work closely with our Construction & Development team to provide comprehensive support on larger projects.

With a commercially minded, pragmatic approach, we focus on what matters to you, giving you practical advice that keeps your project on track and your investment protected.

Employment Law FAQs

  • What is a protected business tenancy?

Most business tenants have “security of tenure” under the Landlord and Tenant Act 1954. This means they have a statutory right to renew their lease when it ends, and the landlord can only refuse on specific grounds. Landlords and tenants can agree to “contract out” of these protections before the lease is signed, using a formal notice procedure. Whether a lease should be protected is an important commercial decision for both sides, and our solicitors can advise on the best approach for you.

  • What should I check before signing a commercial lease?

Before committing to a lease, review the key terms carefully, including the length of the lease, rent and rent review provisions, repairing obligations, service charges, break clauses, and any restrictions on assigning, subletting or altering the premises. Your repairing obligations are especially important, as they can lead to significant dilapidations costs when the lease ends. Our commercial property solicitors can review or negotiate your lease to make sure the terms work for your business.

  • How long does a commercial property purchase take?

Every transaction is different. A straightforward commercial purchase often takes around two to three months, but timescales depend on factors such as the complexity of the title, searches and enquiries, the lender’s requirements, and any tenancies affecting the property. Our solicitors manage each stage proactively and keep you updated throughout, helping you meet your target completion date.

  • Do I pay Stamp Duty Land Tax on commercial property?

Yes. Stamp Duty Land Tax (SDLT) applies to the purchase of commercial property and to the grant of some commercial leases, but non-residential property has different rates and bands from residential property. Mixed-use property, such as a shop with a flat above, is usually taxed at the non-residential rates. Our solicitors can calculate the SDLT due on your transaction and make sure it’s paid and reported to HMRC on time.

  • What are dilapidations?

Dilapidations are claims a landlord can bring at the end of a lease if the tenant hasn’t complied with its repairing, decorating or reinstatement obligations. Claims can be substantial, so it’s important for tenants to understand their obligations before signing a lease and to plan ahead as the lease end approaches. Our commercial property and property litigation teams advise both landlords and tenants on dilapidations, from negotiating lease terms to resolving claims.

Commercial Property Client Testimonials

Leisha Kamalananthan

"Leisha has drafted two commercial leases for us and handled our recent semi-commercial sale. Leisha is tenacious, informative, and supportive, and without those qualities, we would have probably withdrawn from the sale due to the number of obstacles which occurred on the side of the buyer."

Tamsin Ledger

"George and Tamsin have been fantastic to work with on some challenging projects. We have and continue to highly recommend both as they've made a very positive impact for our business. The structure of Woodstock being made up of consultants sets it apart for us as you can always get hold of who you need to speak with and there is much less of a corporate feel from the clients perspective."

Tariq Mubarak

“Tariq has a solid background in complicated deals and structuring transaction agreements successfully, whether that be from the perspective of a developer, investor or vendor. He is a regular contributor to a number of specialist forums where he evidences solid experience of dealing with bespoke situations where out of the box thinking is required. I look forward to working with him again on future projects to handle the legal complexities.”

Adnan Rafique

“Adnan understands banking risk in a way most private client lawyers simply do not.”
